Transactional Representation. Our attorneys regularly assist bank and non-bank lenders in negotiating loans in a wide variety of industries, with a special focus on real estate owners and developers and construction-related businesses, handling even the most complex credit facilities secured by all types of collateral. We regularly provide closing opinions in commercial finance and commercial real estate transactions, as well as performing due diligence on merger and acquisition transactions. We offer creative solutions in such transactions as real property finance, residential leasing, Fintech (e.g., online banking and payment services), the Bank Secrecy Act, daily operational issues, and all regulatory compliance matters. We also assist in compliance with any state or federal examinations and investigations.
Dispute Resolution and Bankruptcies. Our goal is always to resolve disputes without time consuming and distracting litigation; however, when necessary our litigation team is ready to represent clients aggressively in any matter. These may include lender liability actions, mortgage litigation, real property purchase agreement disputes, title disputes, liens, and premises liability. We also work closely with lenders on all issues related to bankruptcies and loan workouts, and enforcing creditors’ rights in U.S. bankruptcy courts, U.S. district courts, and in state courts.
